1. Introduction
1.1 These Terms and Conditions (“Terms”) apply to all sales of construction consumables and related products (“Goods”) by Prep-It Ltd (“we”, “us”, “our”).
1.2 By placing an order with us, you (“the Customer”, “you”, “your”) agree to be bound by these Terms.
1.3 These Terms apply to business-to-business transactions only. We do not sell to consumers.
2. Orders and Contract Formation
2.1 All orders are subject to acceptance by us.
2.2 A contract will only be formed when we confirm your order in writing (including by email).
2.3 Quotations are valid for [30] days unless otherwise stated.
3. Prices and Payment
3.1 Prices are quoted exclusive of VAT, which will be added at the prevailing rate.
3.2 Payment terms are strictly [30 days from invoice date], unless agreed otherwise in writing.
3.3 If payment is not received by the due date, we reserve the right to:

Suspend further deliveries;

Charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Delivery and Risk
4.1 Delivery dates are estimates only. Time for delivery is not guaranteed.
4.2 Risk in the Goods passes to you on delivery to your premises or to your nominated carrier.
4.3 Title to the Goods remains with us until we receive full payment.
4.4 You must inspect the Goods on delivery and notify us in writing of any shortages or defects within 48 hours.
5. Returns and Defects
5.1 We will replace or refund Goods that are defective or not in accordance with specification, provided you notify us within 7 days of delivery.
5.2 We are not responsible for:

Goods damaged by misuse, improper storage, or handling;

Fair wear and tear;

Materials that naturally deteriorate over time.
5.3 Non-faulty Goods may only be returned at our discretion and may be subject to a handling charge.
6. Health & Safety
6.1 You are responsible for ensuring that the Goods are used, handled, and stored in accordance with all applicable health and safety laws, manufacturer instructions, and site safety requirements.
6.2 We provide safety information, datasheets, or usage guidelines where available, and you must ensure these are communicated to all relevant personnel.
6.3 We shall not be liable for any injury, damage, or loss arising from your failure to use or store the Goods safely and in accordance with relevant legislation and industry standards.
6.4 You agree to indemnify us against any claims, costs, or liabilities resulting from misuse or unsafe handling of the Goods.
7. Warranties and Liability
7.1 We warrant that Goods will be free from material defects in materials and workmanship at the time of delivery.
7.2 Except as stated, all warranties, conditions, and terms implied by law are excluded to the fullest extent permitted.
7.3 Our total liability will not exceed the price paid for the Goods in question.
7.4 We shall not be liable for indirect or consequential loss, including loss of profit, business, or goodwill.
8. Force Majeure
8.1 We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including shortages of raw materials, transport issues, strikes, or adverse weather.
9. Intellectual Property
9.1 Any trademarks, logos, or branding used on the Goods remain our property or that of our licensors.
9.2 You may not rebrand or resell our Goods under any other name without prior written consent.
10. Termination
10.1 We may suspend or terminate the contract immediately if you:

Fail to pay any invoice when due;

Breach these Terms;

Enter insolvency proceedings.
10.2 On termination, all outstanding sums become immediately due.
11. Data Protection
11.1 We process personal data in accordance with the UK GDPR and the Data Protection Act 2018.

12. Governing Law and Jurisdiction
12.1 These Terms are governed by the laws of England and Wales.
12.2 Any disputes shall be dealt with exclusively by the courts of England and Wales.
